AGREEMENT TO TERMS

This End-User License Agreement (“EULA”) is a legally binding agreement made between you (“End User” or “you”). Keyfree Technologies Inc., doing business as KēZ (“KēZ,” “we,” “us,” or “our”), concerning your access to and use of the KēZ mobile application (the “Application”).

By clicking “I Agree,” downloading, installing, or using the Application, you agree to be bound by the terms of this EULA. If you disagree with these terms, do not download, install, or use the Application.

LICENSE GRANT

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the Application on wireless electronic devices owned or controlled by you and to access and use the Application on such devices strictly in accordance with the terms and conditions of this EULA.

RESTRICTIONS

You shall not:

Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Application.
Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Application.
Violate any applicable laws, rules, or regulations concerning your access or use of the Application.
Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the Application.
Use the Application for any revenue-generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended.
Make the Application available over a network or other environment permitting access or use by multiple devices or users at the same time.
Use the Application to create a product, service, or software that is directly or indirectly competitive with or in any way a substitute for the Application.
Use the Application to send automated queries to any website or to send any unsolicited commercial email.
Use any proprietary information, any of our interfaces, or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the Application.

INTELLECTUAL PROPERTY RIGHTS

The Application, including all content, features, and functionality, is our proprietary property protected by copyright, trademark, and other laws. You are granted a limited license to use the Application and access its content for personal, non-commercial use only. No other rights or licenses are granted.

USER REPRESENTATIONS

By using the Application, you represent and warrant that:

All registration information you submit will be accurate, current, and complete.
You will maintain the accuracy of such information and promptly update such registration information as necessary.
You have the legal capacity and agree to comply with this EULA.
You are not a minor in the jurisdiction in which you reside.
You will not access the Application through automated or non-human means.
You will not use the Application for any illegal or unauthorized purpose.
Your use of the Application will not violate any applicable law or regulation.

PROHIBITED ACTIVITIES

You may not access or use the Application for any purpose other than that for which we make the Application available. The Application may not be used in connection with any commercial endeavours except those specifically endorsed or approved by us.

USER-GENERATED CONTENT

The Application does not allow users to submit or post content.

CONTRIBUTION LICENSE

By submitting feedback or suggestions regarding the Application, you agree that we can use and share such feedback for any purpose without compensation.

APPLE AND ANDROID DEVICES

The following terms apply when you use the Application obtained from either the Apple Store or Google Play:

The license granted to you for the Application is limited to a non-transferable license to use the Application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and by the usage rules outlined in the applicable App Distributor’s terms of service.
We are responsible for providing any maintenance and support services related to the Application, as specified in this EULA or as required under applicable law, and you acknowledge that each App Distributor is not obligated to furnish any maintenance and support services.
In the event of any failure of the Application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, by its terms and policies, may refund the purchase price, if any, paid for the Application, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever concerning the Application.
You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist-supporting” country. You are not listed on any U.S. government list of prohibited or restricted parties.
You must comply with applicable third-party terms of agreement when using the Application.
The App Distributors are third-party beneficiaries of this EULA and may enforce this EULA against you as a third-party beneficiary thereof.

We care about data privacy and security. By using the Application, you agree to be bound by our Privacy Policy incorporated into this EULA. Please review our Privacy Policy at [Privacy Policy URL].

REVOCATION

Keyfree may, at any time, revoke Your use of the Software if you breach any of these terms and conditions.

TERMINATION

We may terminate or suspend your access to the Application at any time, without prior notice or liability, for any reason, including if you breach any terms of this EULA. Upon termination, your right to use the Application will immediately cease.

CHANGES TO THE EULA

Keyfree reserves the right to modify this EULA’s terms, conditions, and policies from time to time. If Keyfree changes the terms and conditions of this Agreement, you will be notified the next time You log in to use the Software.

OWNERSHIP AND COPYRIGHT OF SOFTWARE

Copyright laws and international treaty provisions protect all the software you use through our products and services. You agree not to remove copyright or trademark notices from the Software and to prevent unauthorized copying of the Software within Your control (and to report such to Keyfree, if not in your control). Keyfree does not grant you any express or implied right under Keyfree patents, copyrights, trademarks, or trade secret information.

DISCLAIMER OF WARRANTIES

The Application is provided “AS IS” and “AS AVAILABLE,” and we expressly disclaim any warranties and conditions of any kind, whether express or implied, including but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, in no event will we or our affiliates, or any of our or their respective licensors or service providers, be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Application.

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, costs, and expenses, including attorneys’ fees, arising from or related to your use of the Application.

DISPUTE RESOLUTION

Any dispute arising out of or relating to this EULA shall be governed by the laws of the Province of Ontario and the laws of Canada applicable to it. The parties agree to settle disputes in good faith using mandatory binding mediation administered by a neutral professional mediator affiliated with the ADR Institute of Canada (ADRIC). Any mediation shall be held in Toronto, Canada.

MISCELLANEOUS

This EULA constitutes the entire agreement between you and us regarding using the Application. Our failure to exercise or enforce any right or provision of this EULA shall not operate as a waiver of such right or provision. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions of this EULA will remain in full force and effect.
